LAS VEGAS — BitMine Immersion Technologies (NYSE American: BMNR), a crypto-focused mining and treasury company, has reaffirmed its compliance with U.S. listing requirements and clarified its access to capital markets following reports of increased scrutiny on digital asset treasuries.
The company emphasized that its July 8, 2025 listing on the NYSE American was fully compliant with exchange standards and remains unaffected by NASDAQ’s recently highlighted guidance on crypto-related share issuances.

According to BitMine, its existing shelf registration allows the firm to issue new shares without seeking shareholder approval. The company’s at-the-market (ATM) program also qualifies as a registered public offering, requiring no additional shareholder consent.
This position contrasts with NASDAQ’s rules, which require shareholder approval for companies establishing crypto treasuries if new share issuances exceed 20% of existing capital or involve crypto “in-kind contributions.” BitMine noted these rules do not apply to its operations, given its prior approvals and the completion of a PIPE (private investment in public equity) transaction earlier this year.

BitMine has positioned itself as a Bitcoin and Ethereum network company, prioritizing the long-term accumulation of crypto assets. The firm’s strategy involves both traditional mining and capital-raising transactions to expand its Ethereum treasury.
Operations are concentrated in low-cost energy regions, including Trinidad, Pecos (Texas), and Silverton (Texas), where the company engages in physical mining, synthetic Bitcoin mining, and advisory services for public companies seeking Bitcoin-denominated revenues.

The clarification comes amid heightened regulatory and exchange oversight of crypto treasury firms, many of which have been required to secure shareholder approvals before raising capital for digital asset acquisitions. BitMine underscored that its listing on NYSE American provides it with an operational advantage in maintaining capital flexibility.
